Terms of Service

Effective Date: August 3, 2026

Please read these Terms of Service carefully before engaging our services. This agreement governs the provision of digital technology, automation, and content services by YAAS.

1. Acceptance of Terms

By accessing our website (yaas.ae), requesting a business automation audit, or executing a service agreement with us, you agree to be bound by these Terms of Service.

If you are agreeing to these Terms on behalf of a company, partnership, or other corporate entity, you represent and warrant that you hold the legal authority to bind that entity to these provisions.

2. Registration & Structure

These Terms govern the business relationship between you and YAAS GROWTH TECHNOLOGIES FZC LLC, registered as a Free Zone Company in the Ajman Free Zone, United Arab Emirates (UAE).

Operating under the Ajman Free Zone structure allows us to deploy digital workflows, code libraries, and marketing frameworks internationally. In accordance with Ajman Free Zone corporate parameters, our street address is withheld from public registers, and all official legal and administrative notices should be routed digitally via legal@yaas.ae.

3. Scope of Services

YAAS provides strategic business growth services, including but not limited to:

  • AI Automation & Integrations: Developing custom conversational AI instances, process automation workflows, API integrations, and CRM lead routing structures.
  • Cinematic Content & Video: Producing and editing vertical shorts, educational show formats, and podcast syndication.
  • Data & Analytics: Deploying business intelligence and analytical reporting dashboards.
  • Web Application Engineering: Coding custom responsive web applications and system frontends.
  • F&B Operations Takeover: Consulting on restaurant recipe COGS, outlet operations, and delivery app POS integrations.

Specific project details, deliverables, timelines, and scope parameters will be explicitly outlined in individual Proposals or Statements of Work (SOW).

4. Client Obligations

To enable us to construct and maintain your systems, you agree to:

  • Provide timely feedback, approvals, and assets necessary for project execution.
  • Supply secure API tokens, credentials, or sandboxed database access when required to configure automation channels (e.g. CRM links, WhatsApp developer portals).
  • Warrant that your business activities comply with UAE law, including local electronic transaction and commercial regulations.

5. Pricing, Fees & Payment

All service fees are denominated in United Arab Emirates Dirhams (AED), unless stated otherwise in writing.

Payment schedules are defined on a per-project basis (e.g., 50% deposit before kickoff and 50% upon delivery) or as a monthly retainer. Invoices are sent electronically and are due within seven (7) calendar days from the date of issue.

We reserve the right to suspend active developer access, pause automation triggers, or withdraw draft video files in the event of overdue invoices.

6. Intellectual Property

Client Ownership: Upon receipt of full and final invoice payment, YAAS transfers intellectual property ownership of specific custom deliverables (e.g., custom website code, bespoke video edits, client-specific database models) to the client.

YAAS Reserved Rights: We retain sole and exclusive ownership of all generic templates, pre-existing code blocks, pre-configured visual workflow blueprint nodes, custom workflow architecture designs, and software frameworks developed independently or prior to the agreement.

7. Limitation of Liability

YAAS constructs workflows and web apps using stable, verified third-party cloud infrastructure and integration middleware (including process automation platforms, AI service providers, social network developer tools, and hosting providers). We are not responsible or liable for any business disruption, lost profits, or data discrepancies caused by:

  • Downtime or service interruptions of third-party platforms.
  • Downtime in third-party food delivery aggregator platforms or local restaurant POS integration nodes.
  • Unexpected changes to third-party API configurations or pricing structures.

To the maximum extent permitted by UAE law, our total liability under any Statement of Work is capped at the sum actually paid by the client to YAAS for the specific services giving rise to the claim.

8. Governing Law & Jurisdiction

These Terms of Service, along with any separate contract or dispute arising from them, shall be governed by and interpreted in accordance with the federal laws of the United Arab Emirates (UAE) and the laws applicable in the Emirate of Ajman.

Any dispute, controversy, or claim arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

9. Termination

Either party may terminate an active Statement of Work or service relationship by providing thirty (30) calendar days' written notice to the other party.

Upon termination, the client agrees to pay YAAS for all completed milestones, hourly development blocks, and expenses incurred up to the effective termination date.
